Job summary

Moritz in San Francisco is seeking a Corporate Counsel to join as a founding team member, shaping product strategy and US growth from day one. You will own corporate work end-to-end, including financings, M&A, equity and formation matters.

You will build scalable legal workflows, draft governance documents, and provide strategic guidance on US corporate matters as we scale our AI-native platform for high-growth tech.

Qualifications

• 4–8 years of experience at a leading tech-focused law firm or in-house at a tech company or high-growth startup.
• Expert in corporate law with experience in financings, M&A, and formation/governance.
• JD and active license to practice law in NY or CA.

Responsibilities

• Lead corporate work and shape product strategy and GTM in the US.
• Own corporate work end-to-end: financings, M&A, equity and incorporation matters, governance documents.
• Develop and refine legal templates and playbooks for financings and corporate transactions.
• Partner with founding team to design scalable legal workflows for product adoption and growth.

THE ROLE

We're looking for a Corporate Counsel to join as a founding team member - not just as legal counsel, but as a core partner in shaping our product and growth in the US.

What you'll do

• Act as the lead for corporate work, shaping product strategy and our go-to-market approach
• Own corporate legal work end to end: venture financings, M&A transactions, equity and incorporation matters, board and governance documents, and other core corporate agreements
• Build, test, and refine our US product from a legal perspective, evolving core templates and playbooks for financings and corporate transactions
• Partner with the founding team to design scalable legal workflows that drive product adoption and growth
• Provide strategic guidance on US corporate, governance, and transactional matters as we scale

What we're looking for

• 4-8 years of experience at a leading law firm for technology companies (i.e., BigLaw) or in-house at a major tech company or high-growth startup
• Expert in corporate law, with deep experience in venture financings, M&A, and company formation and governance
• JD and active license to practice law in New York or California (non-negotiable requirement)
• Based in San Francisco
• Entrepreneurial mindset and excitement about building something new
• Genuine interest in innovation, AI, and legal tech
• Comfort operating in a fast-paced, early-stage startup environment
