Job summary

PSI, a mid-sized regional firm in St George, Utah, seeks a motivated Transactional Associate Attorney with 2–5 years of experience to join our growing team. The role focuses on handling a diverse portfolio of transactional work and contract management.

You'll draft, review, and negotiate commercial contracts, advise on entity formation and governance, and counsel clients on compliance and risk. Strong drafting and communication skills are essential.

Qualifications

• J.D. from ABA-accredited law school.
• Licensed to practice in Utah with active Utah State Bar.
• 2-5 years of transactional, corporate, or commercial law experience.
• Strong drafting skills with risk mitigation in contracts.
• Excellent written and verbal communication for client relations.
• Ability to manage multiple transactions under tight deadlines.

Responsibilities

• Draft and negotiate a wide variety of commercial contracts including MSAs, vendor contracts, NDAs, and employment agreements.
• Advise on entity formation, corporate structuring, bylaws, operating agreements, and governance documents.
• Provide legal research and strategic advice on regulatory compliance and risk mitigation.
• Manage transaction timelines, coordinate closings, and ensure all closing deliverables and legal conditions are met.
