Job summary

Oracle is seeking a Sr. Corporate Counsel – Securities to join a lean, highly collaborative team. The role focuses on drafting and reviewing high-stakes SEC and Board materials with precision, while leveraging AI tools and advanced data analysis.

The ideal candidate has a JD from a top-tier school, 4+ years in governance and securities, and is licensed to practice in the United States. Strong Excel skills and experience with disclosure platforms are required.

Qualifications

• Juris Doctor degree from a top-tier law school.
• At least 4 years in corporate governance and securities compliance at a top law firm.
• Bar admission in good standing to practice law in the United States.
• Strong attention to detail in SEC/Board materials; error-free drafting and proofreading.

Responsibilities

• Support Oracle’s Board and committees; prepare agendas, minutes and materials; update charters.
• Assist with 404 Reg S-K transactions and related disclosures; coordinate with sales for materials.
• Draft the annual proxy statement and related materials; support stockholders’ meeting materials.
• Assist in SEC reporting and NYSE compliance; prepare 10-K/10-Qs/8-Ks and Section 16 filings.
• Review communications during quiet periods for compliance with guidelines.
• Assist with quarterly earnings releases and related scripts.
• Support corporate finance activities and treasury on capital markets transactions.
• Review annual equity grants for regulatory compliance.
