Avalara is seeking a remote M&A Counsel in the United States to serve as the primary legal partner supporting corporate development and strategic growth initiatives. You will guide domestic and international transactions from creation through closing and post-transaction integration, partnering with Finance, Tax, and leadership.

Qualifications

• J.D. and active bar membership in at least one U.S. jurisdiction.
• 5+ years of experience as an M&A attorney, at a top firm or in-house.
• Experience leading domestic and international M&A transactions.
• Familiarity with leveraging AI tools in legal workflows.

Responsibilities

• Lead domestic and international M&A transactions, including acquisitions and divestitures.
• Draft stock and asset purchase agreements and ancillary docs.
• Conduct legal due diligence and summarize risk assessments.
• Coordinate with outside counsel and internal experts (privacy, IP, security, employment).
• Utilize legal technology and AI to enhance M&A workflows.
