Job summary

Cognizant is seeking an experienced Mergers and Acquisitions Attorney to support the Corporate Development department in US and international transactions. You will lead deal structuring, due diligence, and documentation throughout the lifecycle from inception to integration, coordinating with cross-functional teams.

This role requires five-plus years in M&A, top firm experience, and strong project-management and communication skills.

Qualifications

• Five+ years of mergers and acquisitions experience.
• Undergraduate and J.D. degrees from recognized institutions.
• Top law firm experience focused on US and cross-border M&A.
• Diverse and complex M&A transactional experience across settings.
• End-to-end M&A process understanding from inception to integration.
• Strong project-management and attention to detail, capable of leading large cross-functional projects.
• Ability to work independently and as part of a team.
• Excellent written and oral communication with stakeholders.

Responsibilities

• Draft and negotiate definitive transaction documents (SPAs, disclosure letters, reps and warranties, LOIs, NDAs).
• Lead M&A deal attorney role across structuring, due diligence, documentation, signing and closing.
• Conduct due diligence and summarize findings for Corporate Development and Investment Committee.
• Collaborate with tax, finance, HR, IP, contracts, ethics/compliance, privacy, IT, and security teams.
• Support integration planning and execution for acquired businesses.
• Coordinate and oversee outside M&A counsel.
• Provide legal advice related to Corporate Development and Cognizant’s M&A activities.
