Job summary

Cognizant is seeking an experienced Mergers and Acquisitions Attorney to join the Corporate Development team as a lead deal attorney. This remote role focuses on U.S.

transactions with international exposure, guiding structuring, diligence, documentation, signing and integration through the deal lifecycle. Requirements include five years of M&A experience, a JD and undergraduate degree from recognized institutions, and strong cross-functional collaboration skills.

Qualifications

• At least five years of mergers and acquisitions experience.
• Undergraduate and J.D. degrees from recognized institutions.
• Top law firm experience focused on US and cross-border M&A.
• Diverse and complex M&A transactional background.
• Understanding end-to-end M&A process from inception to integration.
• Strong project-management and attention to detail.
• Ability to work independently and in teams, with sound judgment.

Responsibilities

• Draft and negotiate definitive transaction documents, including SPAs and LOIs.
• Lead M&A deal attorney role, overseeing structuring, diligence, documentation, signing, closing.
• Conduct legal due diligence and summarize findings for Investment Committee.
• Collaborate with tax, finance, HR, IP, and other specialists across Corporate Development.
• Support integration planning for acquired businesses.
• Coordinate and oversee outside M&A counsel.
• Provide legal advice on Corporate Development and Cognizant M&A activities.
