Job summary

SQRL is seeking a Corporate Contracts Paralegal to support its growing legal department, with a focus on contract management, corporate governance, and legal operations across a nationwide clinical research network. The role offers a mix of remote work and in-person collaboration in the Greater Philadelphia area.

The ideal candidate has 3–5 years of paralegal experience, strong drafting skills, and familiarity with CTAs/CDAs. CPA/PACE is a plus; bachelor’s degree preferred.

Qualifications

• 3–5 years of paralegal experience, preferably supporting corporate legal departments, business transactions, or contract management, including at least 2 years of hands-on contract drafting and administration.
• Associate's degree or paralegal certificate from an ABA-approved program required; bachelor’s degree preferred.
• Strong experience reviewing, drafting, and redlining agreements, with the ability to manage multiple contracts and deadlines independently.
• Familiarity with corporate governance, business entity documentation, and legal compliance requirements; experience supporting multi-state organizations is a plus.
• Proficiency with Microsoft Office, Adobe Acrobat, electronic signature platforms, and contract management tools, along with strong communication and organizational skills.
• Experience with Clinical Trial Agreements (CTAs), Confidentiality Agreements (CDAs), or contracts in healthcare, biotechnology, or clinical research is highly preferred. Professional paralegal certification (CP, PACE, or equivalent) is a plus.

Responsibilities

• Draft, review, revise, and manage a variety of agreements, including Clinical Trial Agreements (CTAs), Confidentiality Agreements (CDAs), Master Service Agreements (MSAs), and vendor contracts.
• Oversee the contract process from initial preparation through execution, maintaining accurate records and tracking deadlines, renewals, and other important milestones.
• Support corporate governance activities, including maintaining business registrations, licenses, corporate records, board resolutions, and other required documentation.
• Assist with legal due diligence, documentation, and integration activities related to new business acquisitions and continued organizational expansion.
• Partner with internal teams, including Operations, Business Development, and Finance, to address contract-related questions, coordinate approvals, and support timely execution.
• Provide day–to–day support to the General Counsel through legal research, document preparation, calendar coordination, communication with outside counsel, and improvements to legal processes.
