Ideal candidates hold a JD with active US bar admission and at least 4 years of transactional experience, focused on drafting, reviewing, and negotiating contracts.

Qualifications

• Must have a JD from an accredited law school and be admitted to a US bar.
• Minimum 4 years of transactional practice in a law firm or in-house setting.
• Strong familiarity with commercial provisions such as liability limitations, indemnification, confidentiality, and data protection.
• Ability to synthesize complex legal concepts and deliver clear written analyses.
• Experience in technology transactions is a plus, with high attention to detail and accuracy.

Responsibilities

• Review and redline commercial agreements (MSAs, NDAs, DPAs) per policy.
• Analyze drafts to identify issues and determine company positions and fallback outcomes.
• Draft clear written explanations for each revision.
• Apply advanced contract drafting and negotiation knowledge to real documents.
• Collaborate with the team to ensure consistency of standards across the engagement.
• Maintain meticulous attention to detail and high-quality contract review.
• Work independently in a remote, deadline-driven environment.
