Job summary

5 Legal seeks a Private Investment Funds Associate Attorney to join its Investment Management group in Austin, Texas. This role guides fund structures and regulatory considerations for sophisticated clients.

Candidates should have at least 4 years of experience, with demonstrated expertise in structuring and forming private equity and venture capital funds, negotiating with limited partners, and related regulatory matters under the Investment Company Act of 1940 and the Investment Advisers Act

Qualifications

• Experience in structuring and formation of private equity funds or venture capital funds.
• Negotiation with limited partners (LPs).
• Experience with real estate funds and/or hedge funds is a plus.
• Experience with the Investment Company Act of 1940 and the Investment Advisers Act of 1940; representing institutional investors in private investment funds.

• Advise on structuring and formation of private investment funds in the Investment Management group.
• Assist with regulatory compliance issues under the ICA 1940 and IA 1940; advise institutional investors.

Experience in the structuring and formation of private equity funds or venture capital funds and negotiation with limited partners is required. Additional experience with structuring general partner and management companies as well as experience with real estate funds and/or hedge funds is also helpful. In addition, experience with the Investment Company Act of 1940 and the Investment Advisers Act of 1940 and related issues, representing institutional investors in their investments into private investment funds and various other corporate and partnership matters is ideal.

Candidates should have solid academic credentials and at least 4 years of experience.
