We are seeking a detail-oriented legal professional with experience supporting private equity and investment fund transactions, specifically focused on subscription agreement review and private fund documentation. This role will support fund operations, investor onboarding, and fund closing activities for private investment vehicles while ensuring documentation accuracy, consistency, and compliance with fund terms. The ideal candidate will have hands-on experience reviewing and managing subscription agreements and related investor documentation within a private equity, asset management, fund administration, or law firm environment. Candidates may come from junior associate-level roles at private equity firms, investment banks, fund administrators, or legal service providers.

Key Responsibilities

Subscription Agreement Review & Documentation

• Review, analyze, and process subscription agreements and related investor documentation for private investment funds.
• Review investor questionnaires, investor data sheets, and supporting fund subscription documentation.
• Ensure documentation aligns with applicable fund governing documents, including Limited Partnership Agreements (LPAs), Private Placement Memoranda (PPMs), and side letter requirements.
• Identify inconsistencies, missing information, and documentation discrepancies during investor onboarding and fund closing processes.
• Support documentation workflows associated with private fund investments and investor admissions.
• Coordinate and manage execution of subscription documents and investor onboarding materials.
• Track document completion, signature status, and closing deliverables across multiple investors and transactions.
• Support high-volume fund closing activities in collaboration with legal, compliance, and fund administration teams.
• Maintain organized and audit-ready records of investor documentation and subscription files.
• Review subscription documentation to confirm investor eligibility and compliance with fund requirements.
• Escalate legal, operational, and documentation risks or exceptions to internal stakeholders where appropriate.
• Assist with documentation review processes related to private fund transactions and investment structures.
• SEC Regulation D requirements
• AML/KYC obligations
• Data privacy and confidentiality standards
• Maintain audit-ready documentation and review logs.

Stakeholder Coordination

• Partner with internal legal, fund operations, compliance, and investor relations teams to facilitate smooth onboarding and closing processes.
• Communicate with external counsel, fund administrators, and other transaction stakeholders as needed.
• Respond to internal inquiries regarding subscription documentation and fund closing status.

Qualifications & Experience

3–8 years of relevant experience in:

• Private equity or asset management firms
• Fund administration organizations
• Legal managed services providers
• Law firms supporting fund formation or investment transactions

Demonstrated experience reviewing:

• Subscription agreements
• Fund closing documentation and workflows
• Strong understanding of private investment fund structures and investor admission processes.
• Excellent attention to detail and ability to manage high-volume documentation review in fast-paced environments.
• Strong organizational, communication, and stakeholder management skills.
