The ideal candidate has a JD from a top-tier law school with 3–8 years of experience, strong drafting/negotiating skills, and a background at a sophisticated firm. Excellent communication and coordination are essential.

Qualifications

• JD from top-tier law school with strong academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing, or eligibility to obtain admission promptly.
• 3–8 years of experience representing private equity sponsors, banks, and/or private credit lenders in leveraged finance transactions.
• Experience structuring, drafting, and negotiating term and revolving credit facilities for LBOs, acquisition financings, and corporate growth.
• Prior experience at AmLaw 100 or similarly sophisticated firm preferred.
• Strong communication, organizational, and analytical abilities; experience managing complex workstreams and coordinating with multiple stakeholders.

Responsibilities

• Represent private equity sponsors and financial institutions in sophisticated debt finance transactions.
• Draft, negotiate, and manage financing documents such as commitment papers, credit agreements, and security agreements.
• Advise on structuring and execution of senior, mezzanine, and unitranche facilities.
• Collaborate across the firm's private equity, M&A, tax, and restructuring teams to deliver transactional support.
• Serve as a key contributor from term sheet negotiations through closing.

Our client, a premier AmLaw 50 firm, is seeking a driven mid-level Associate Attorney to join its high-performing Debt Finance Practice Group. This is an exciting opportunity to work on complex and high-value debt financing transactions for elite private equity sponsors, direct lenders, and financial institutions across a wide range of industries and deal structures.

Candidate Profile

• JDfrom atop-tier law schoolwith astrong academic record.
• Active Bar Admission in the relevant jurisdiction, in good standing, or eligibility to obtain admission promptly.
• 3-8 years of substantive experience representing private equity sponsors, banks, and/or private credit lenders in connection with leveraged finance transactions.
• Deal Experience: Demonstrated expertise in structuring, drafting, and negotiating term and revolving credit facilities for leveraged buyouts, acquisition financings, and corporate growth.
• Documentation: Strong proficiency in drafting and negotiating commitment letters, credit agreements, and collateral documents.
• Prior experience at an AmLaw 100 or similarly sophisticated firm preferred.
• Soft Skills: Excellent communication, organizational, and analytical abilities; experience managing complex workstreams and coordinating with multiple stakeholders; proven ability to thrive in a fast-paced, high-performance environment.

Key Responsibilities

• Represent private equity sponsors and financial institutions in sophisticated debt finance transactions, including leveraged buyouts, dividend recapitalizations, and other acquisition financings.
• Draft, negotiate, and manage key financing documents such as commitment papers, credit agreements, and security agreements.
• Advise clients on structuring and execution of senior, mezzanine, and unitranche facilities.
• Collaborate with colleagues across the firm’s private equity, M&A, tax, and restructuring teams to deliver comprehensive transactional support.
• Serve as a key contributor throughout all stages of transactions - from term sheet negotiations through closing.

Compensation & Benefits

• Competitive Compensation:Annual base salary is expected to range from$260,000 - $435,000, depending on experience, qualifications, and market factors.
