Job summary

Quintairos, Prieto, Wood & Boyer, P.A. seeks an experienced Senior Litigation & Corporate Paralegal to support the Business Law and Commercial Litigation Practice Group led by Rafael Zahralddin.

This role handles complex commercial litigation, corporate governance disputes, bankruptcy proceedings, M&A transactions, and regulatory compliance for domestic and international clients. The successful candidate will assist attorneys with all phases of litigation, draft pleadings, manage e-discovery,

Qualifications

• Paralegal certificate or equivalent experience.
• 5+ years of litigation and/or corporate transactional paralegal experience preferred.
• Experience in commercial litigation, bankruptcy, corporate governance, or business transactions strongly preferred.
• Proficiency with e-discovery platforms, document management systems, and Microsoft Office Suite.
• Familiarity with Delaware state and federal court filing procedures preferred.
• Strong attention to detail and organizational skills.
• Ability to prioritize competing deadlines and work independently.

Responsibilities

• Assist attorneys with all phases of commercial litigation, including case initiation, discovery, motion practice, trial preparation, and post-judgment proceedings.
• Draft, review, and file pleadings, motions, subpoenas, notices, and discovery documents in state and federal courts.
• Manage large-scale document productions and e-discovery projects.
• Organize case files, exhibits, deposition materials, and trial notebooks.
• Coordinate depositions, mediations, arbitrations, hearings, and court appearances.
• Review and summarize corporate records, contracts, financial documents, and regulatory filings.
• Assist with due diligence reviews for mergers, acquisitions, and corporate transactions.
• Support bankruptcy and restructuring matters, including claims administration and court filings.
• Prepare corporate governance materials, board resolutions, entity formation documents, and compliance records.
• Conduct factual investigations and prepare chronologies, witness files, and document summaries.
• Communicate with clients, experts, vendors, court personnel, and opposing counsel.
• Track deadlines and maintain litigation calendars across multiple jurisdictions.
