Job summary

Wilson Sonsini is seeking an experienced Paralegal to work closely with attorneys on private companies in our Corporate Department in Seattle. The paralegal will handle formations, compliance and governance, and financings in a hybrid schedule.

The responsibilities include preparing charter documents, stock administration, capitalization management, and corporate filings while coordinating with clients, directors, and auditors.

Qualifications

  • Bachelor’s degree or paralegal certificate from an accredited college or university.
  • Minimum of 3+ years of corporate paralegal experience at a law firm.
  • Strong knowledge of private company corporate tasks and governance.
  • Experience with securities and capitalization management platforms.
  • Proficient with Excel and able to manage multiple projects under deadlines.

Responsibilities

  • Prepare charter documents and board/shareholder actions.
  • Process stock and option administration and prepare reports.
  • Manage capitalization records in equity platforms (Carta/Pulley/Shareworks).
  • Support corporate and securities filings and EDGAR work.
  • Communicate with clients, directors, investors, and auditors.
  • Assist with due diligence, closings, and annual compliance.

Job description

Wilson Sonsini is looking for an experienced Paralegal to work closely with attorneys on private companies in our dynamic Corporate Department. The paralegal would be an important part of our team in handling formations, compliance and corporate governance, and financings.

This position is available as a hybrid work schedule.

The responsibilities include but are not limited to:

  • Prepare corporate documents, such as charter documents and board and shareholder actions
  • Process stock and option administration, including drafting agreements and preparing reports
  • Manage capitalization processes and records in equity management platforms, including Rule 701 analysis
  • Conduct research to prepare and manage corporate and securities filings
  • Prepare and assist with EDGAR code applications and accounts
  • Communicate with clients, holders, directors, investors, and auditors
  • Handle due diligence and closing processes
  • Compile and distribute closing documents and closing volume
  • Assist with annual compliance matters
  • Provide support for franchise taxes and notices to clients
  • Handle daily corporate maintenance work
  • Organize client records and maintain files
  • Input time entry daily

The job requirements are:

  • Bachelor’s Degree or Paralegal Certificate at accredited college or university
  • 3+ years of corporate paralegal experience at law firm
  • Strong working knowledge of corporate tasks for private companies
  • Understanding of corporate governance matters and transactional work
  • Experience with securities and corporate laws
  • Experience in capitalization management platforms such as Carta, Pulley and Shareworks
  • Proficient with Excel spreadsheets
  • Detail-oriented and organized, with excellent analytical skills
  • Excellent communication and prioritization skills to manage projects simultaneously under deadline pressure

The primary location for this job posting is in Seattle. The actual base pay offered will depend upon a variety of factors, including but not limited to the selected candidate’s qualifications, years of relevant experience, level of education, professional certifications and licenses, and work location. The anticipated pay range for this position is as follows: $32.92 – $44.54 per hour.

The compensation for this position may include overtime and a discretionary year-end merit bonus based on performance. We offer a highly competitive salary and benefits package.
