We are looking for a qualified and experienced Paralegal to join our team. The ideal candidate will have experience and expertise in drafting, reviewing, and negotiating business-to-business contracts, as well as excellent communication, research, and organizational skills. The Paralegal will work closely with our business partners to ensure compliance with applicable laws and regulations, protect our interests, and mitigate risks.

Responsibilities
  • Contract Management: Draft, review, and negotiate various business-to-business contracts, such as service agreements, vendor agreements, licensing agreements, and confidentiality agreements.
  • End-User License Agreements: Draft, review, and analyze End-User License Agreements (EULAs) to ensure compliance with legal standards and company policies.
  • Compliance: Ensure that contracts are consistent with our policies, standards, best practices, and comply with relevant laws and regulations.
  • Issue Resolution: Identify and resolve contractual issues and disputes, escalating complex or high-risk matters to the legal team as needed.
  • Document Management: Maintain and update contract templates, databases, and records; track contract status and deadlines.
  • Support: Provide support and guidance to the legal team and business partners on contractual matters; assist with contract-related projects and initiatives.
  • Corporate Documents: Prepare and review corporate documents such as resolutions, bylaws, minutes, policies, and reports.
  • Legal Research: Conduct research and analysis on relevant topics, including compliance, governance, mergers and acquisitions, and intellectual property.
  • Records Maintenance: Organize and maintain corporate files and records, ensuring their accuracy and completeness.
  • Project Management: Manage and track deadlines, deliverables, and payments for various projects and transactions.
  • Communication: Coordinate and facilitate communication with clients, vendors, and other external parties.
  • Administrative Support: Provide administrative and clerical support to the corporate legal team, such as scheduling meetings, taking notes, filing documents, and making travel arrangements.

Education and Experience
  • Bachelor's degree or equivalent in Paralegal Studies, Business, Law, or a related field.
  • Paralegal certificate required.
  • At least 5 years of experience as a Paralegal or Contract Specialist, preferably in a business-to-business environment.
  • Knowledge and understanding of contract law and principles, and familiarity with various types of business-to-business contracts.
  • Some related experience preferred.
Physical Requirements
  • Prolonged periods sitting at a desk and working on a computer.
  • Must be able to lift up to 15 pounds at times.
