Job summary

Responsibilities

  • Prepare and revise, format and finalize a wide variety of polished documents, including correspondence, communications, presentations, memoranda, NDAs, and transaction documents.
  • Maintain minute books, entity records, officer/director information, annual filings, and board materials.
  • Manage contract management system, including executed agreements, key dates, renewals, and reporting.
  • Oversee document management system organization, indexing, retention, and version control.
  • Coordinate with multiple departments and outside counsel on legal projects and transactions.
  • Provide transactional support, including signature packets and coordinating signatures.
  • Assist with insurance policies, audits, and regulatory filings as needed.
  • Assist with legal technology platforms, AI-enabled tools, and workflow automation.

The Paralegal is a key member of the Legal Department responsible for supporting corporate governance, commercial transactions, regulatory compliance, litigation management, legal operations, and document management. This role partners closely with the General Counsel/Chief Compliance Officer, Associate General Counsel, and business teams across the organization to help ensure efficient legal operations and execution of strategic initiatives.

Responsibilities
  • Document Preparation:
  • Prepare and revise, format and finalize a wide variety of polished documents, including correspondence, communications, presentations (e.g.,letters, charts, etc.), memoranda, NDAs, transaction documents, and other legal materials.
  • Assist with corporate governance matters, including maintenance of minute books, entity records, organizational structure charts, officer and director information, annual filings, organizational documents, and board and committee materials.
  • Maintain the Legal Department's contract management system, including executed agreements, key dates, renewal deadlines, and reporting.
  • Assist in maintaining the firm's document management system, including document organization, indexing, retention, version control, and records management.
  • Manage multiple legal projects simultaneously while coordinating with Finance, Asset Management, Compliance, HR, IT, Property Management, Leasing, and outside counsel.
  • Provide transactional support including preparing and managing signature page packets, coordinating signatures.
  • Assist with the maintenance of HCP's managed entities, including liaising with HCP's registered agents in the U.S. (CT Corporation) and internationally (Vistra), obtaining EINs, and completing annual reporting.
  • Support acquisitions, dispositions, financings, leasing transactions, and other commercial matters by organizing due diligence materials, preparing closing checklists, coordinating signatures, and managing transaction documents.
  • Assist with implementation and ongoing administration of legal technology platforms, AI-enabled document tools, electronic signature platforms, document management systems, and workflow automation initiatives.
  • Manage relationships with outside counsel, including engagement letters, matter assignments, budgets, invoices, status reporting, and legal spend tracking.
  • Maintain litigation tracker and keep track of outstanding matters; assist in coordinating with the relevant litigation counsel and insurance providers.
  • Assist in the company wide and property level insurance policies, including applications, renewals certifications, policy schedules and coordinating among the relevant stakeholders and insurance brokers and consultants.
  • Provide support to the General Counsel/Chief Compliance Officer in connection with HCP's Regulatory Compliance Program, including Code of Ethics administration, regulatory filings, quarterly and annual certifications, books and records, policy updates.
  • Organize, strategically prioritize, and independently manage and act on information from (e)mails, calls, meetings, and directions, ensuring timely follow through and completion.
  • Assist with Legal Department's time entry and tracking of billable hours.
  • Review, coordinate and manage legal invoices, coordinating across Finance and Accounting departments.
  • Schedule conference calls, organize meetings, and travel schedules.
  • Process expense reports.
  • Help with lunches, property tours, physical meetings and other administrative tasks as needed.
Requirements
SKILLS AND QUALIFICATIONS
  • Minimum of 3 years' experience as real estate or corporate paralegal supporting executives in a corporate environment, ideally at a financial, private equity, real estate or law firm;
  • prior legal experience is highly preferred.
  • Superior attention to detail. Outstanding organizational, problem-solving, and multitasking skills.
  • Excellent interpersonal, verbal, and written communication skills.
  • Proficient at exercising discretion, establishing priorities, and maintaining confidentiality.
  • Experience with iManage, NetDocs or similar DMS; DocuSign; Adobe Acrobat; advanced proficiency with Microsoft Office Suite.
  • Desire to work in a fast-paced and entrepreneurial environment.
  • Bachelor's degree or equivalent experience required.
  • Completion of an ABA-approved paralegal certificate program is required.
  • Active notary public commission is a plus.

Estimated Annual Salary Range: $95k-125k plus bonus

The actual salary offered will depend on the candidate's experience, skills, and qualifications.
