CM E Group is looking for an experienced governance paralegal to join the Corporate Secretary's Office. The role supports compliance with securities laws, Nasdaq listing requirements and CME Group’s corporate governance policies.
Key Responsibilities
- Manage the relationship with CME Group’s transfer agent and provide effective customer service to retail shareholders, coordinating with Treasury and Compensation on processes such as stock issuances, dividend distributions, tax withholding, DWAC/DRS transactions, share balancing, and shareholder inquiries.
- Prepare and distribute director, officer and related‑party questionnaires and board and committee evaluations through the board portal.
- Assist with insider‑trading compliance, including managing the insider list, trading‑window communications and coordinating pre‑arranged trading plans under Rule10b5‑1.
- Lead aspects of preparing the company’s proxy statement, updating disclosures, managing the proxy calendar, and coordinating printing and distribution.
- Coordinate the annual shareholders’ meeting, including engagement with the inspector of elections, voting assistance, and script, rules of conduct, and logistics.
- Maintain Section16 compliance by tracking EDGAR codes, director and officer holdings, and drafting/filing Forms3,4 and5 through Workiva.
- Assist with preparation and filing of other SEC periodic reports and corporate citizenship reports, gathering and verifying information for public disclosures.
- Support responses to audit requests, regulatory examinations and other compliance inquiries, maintaining records and collaborating with stakeholders for accurate reporting.
- Maintain minute books, corporate records and governance documentation, including minutes, resolutions, charters, bylaws and policies, and update governance documents on the investor‑relations website.
- Assist in preparing board and board‑committee meeting materials, such as agendas, resolutions and minutes.
Qualifications
- Bachelor’s degree or Paralegal Certificate from an ABA‑approved program.
- 3+ years of experience or exposure to corporate secretary functions, shareholder relations, SEC filings and corporate governance.
- Strong ability to manage multiple schedules independently, prioritize workload, meet deadlines and establish working relationships in a dynamic environment.
- Excellent judgment, communication and presentation skills, both verbal and written, and ability to collaborate with partners.
- High organizational skill and meticulous attention to detail in all tasks.
- Confident and decisive under pressure, using good judgment and demonstrating maturity, tact and diplomacy; ability to handle confidential and sensitive information with discretion.
- Proactive, eager to learn new responsibilities and emerging corporate governance practices.
- Innovative, willing to take a creative and new approach to issues.
- Effective communication with individuals at the C‑suite level.
- Ability to conceptualize and manage complex projects, engaging resources from inside and outside the department.
Preferred
- Working knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934 and related rules and regulations.
- Proficiency with EDGAR, SEC filing platforms and board portals.
