Qualifications

• Candidates must hold an active Pennsylvania Bar license and have 4+ years of law firm experience in corporate, transactional, and/or M&A work.
• Law firm background is required — in-house-only experience is not a fit for this role.
• Residence in Bucks County or Montgomery County is strongly preferred.

Responsibilities

• Advise business clients on corporate formation, governance, and restructuring matters.
• Negotiate and draft agreements across a range of commercial transactions.
• Handle private placement transactions and commercial finance matters.
• Draft, review, and negotiate commercial contracts for a diverse client base.
• Counsel clients on business disputes, risk management, and transactional strategy.
• Support nonprofit clients on governance, compliance, and transactional matters.
• Collaborate with real estate and litigation colleagues on matters with transactional intersections.
• Build direct client relationships and contribute to business development over time.
