Job summary

BKV Corporation seeks an Associate Attorney to provide legal support to the Legal Department on commercial transactions, corporate governance, mergers and acquisitions, regulatory matters, and general corporate advice. The role spans upstream, midstream, power, and carbon capture businesses, developing practical legal and business judgment.

Under senior attorney guidance, you will draft and review documents, perform legal research, participate in transactions, and advise internal clients on

Qualifications

• J.D. from an accredited law school.
• Active law license in at least one U.S. jurisdiction.
• 1–3 years of legal experience, preferably with an energy company or law firm serving oil & gas clients.
• Experience drafting and negotiating commercial agreements.
• Familiarity with upstream oil and gas operations, commercial transactions, or corporate law.

Responsibilities

• Draft, review, and negotiate a variety of commercial agreements including confidentiality and master service agreements.
• Assist with mergers, acquisitions, divestitures, joint ventures, and other strategic transactions, including due diligence and post‑closing activities.
• Provide day-to-day legal support to business units on operational, commercial, and corporate matters.
• Conduct legal research and prepare memoranda on oil & gas, corporate, commercial, environmental, and regulatory issues.
• Assist with corporate governance, board materials, resolutions, and entity maintenance.
• Support contract templates, forms, policies, and internal procedures.
• Review contract compliance, risk allocation, and obligations; coordinate with outside counsel as needed.
• Assist with litigation management, discovery requests, and legal holds as needed.
• Collaborate with cross‑functional teams and support legal operations initiatives.
