Job summary

The Archdiocese of Chicago seeks a Corporate Counsel to advise senior leadership on corporate law, governance, and regulatory compliance. You will draft and revise bylaws, policies, and governance documents, and support meetings with materials and minutes.

You’ll ensure compliance with nonprofit laws and manage relationships across affiliated entities. Responsibilities include advising on 501(c)(3) status, regulatory filings, and the development of internal compliance programs.

Qualifications

• J.D. degree from an accredited law school and active Illinois license.
• 5–8 years of legal experience, preferably with nonprofit organizations.
• Experience advising tax-exempt organizations and nonprofit boards or religious groups.
• Knowledge of federal nonprofit tax exemption requirements and solicitation rules.

Responsibilities

• Advise senior leadership on corporate legal and governance matters.
• Draft, review, and revise bylaws, policies, resolutions, and governance documents.
• Support board, advisory council, and committee meetings with materials and minutes.
• Ensure compliance with nonprofit corporate laws and governance best practices.
• Manage client relationships with entities included in combined financial reports.
• Monitor compliance with federal and state nonprofit laws and regulations.
• Advise on tax-exempt status requirements under IRS classifications.
• Prepare, review, or oversee regulatory filings and charitable registrations.
• Develop compliance programs and internal policies.
• Advise on charitable solicitation laws and gift documentation.
• Support grants contributions compliance.
