Job summary

Reed Smith LLP is seeking a junior-to-mid-level Technology Transactions Associate for its Dallas, TX and Atlanta, GA offices. The role focuses on drafting, negotiating, and analyzing complex technology‑based commercial agreements and advising on IP matters in corporate transactions.

The candidate should have 2–4 years of experience in corporate and commercial technology/IP matters and be an active bar member in the relevant state.

Qualifications

• 2-4 years of experience in corporate and commercial technology and intellectual property matters.
• Active member of the bar in the state where the candidate resides.

Responsibilities

• Draft and analyze complex technology contracts (SaaS, software licenses, professional/master services, outsourcing, supply, distribution, reseller, manufacturing, and bespoke agreements).
• Negotiate and advise on technology‑based commercial transactions.
• Evaluate IP and technology issues in M&A, carve-out, spin-off, and private equity deals.
• Conduct due diligence on chain of title, inbound/outbound licenses, open-source software, AI, and U.S. data processing matters.
• Assist with transaction documents and related legal work.
