You will draft and structure documents for management entities, participate in GP-led restructurings, and assist institutional investors with fund and co-investments. JD required with active MA bar.

Qualifications

• 3–5 years of experience in a large law firm.
• Familiarity with private fund structures and relevant laws and regulations.
• Active bar membership in Massachusetts.

Responsibilities

• Form private investment funds, including hedge funds, venture capital funds, and private equity funds.
• Structure and draft documentation for management entities and bonus and carry plans.
• Work on secondary transactions, including GP-led restructurings.
• Assist with investments by institutional investors in private funds and co-investments.
