Job Overview:
A law firm located in Uniondale, NY is seeking a skilled M&A and Corporate Associate Attorney with 2-8 years of experience to support its expanding practice in mergers & acquisitions, private equity, and general corporate matters. The successful candidate will engage directly with high-profile clients including founders, executives, sponsors, and family offices across a diverse range of transactions. The position offers a dynamic, collaborative environment ideal for motivated legal professionals with strong drafting and transactional skills.

Duties:

  • Represent corporate clients on both buy-side and sell-side M&A transactions across multiple sectors
  • Advise on lower middle-market, private equity-backed, and founder-led deals
  • Support private equity firms, emerging managers, and independent sponsors with acquisitions and capital raising
  • Draft and negotiate various transactional and corporate governance documents, including:
    • Stock and asset purchase agreements
    • Operating agreements
    • Investor rights agreements
    • Entity formation
    • Governance and compliance issues
    • Commercial contracts
  • Manage multiple ongoing matters in a fast-paced, entrepreneurial setting
  • Collaborate with clients directly to deliver practical, business-focused legal solutions
  • Maintain consistent communication with internal and external stakeholders

Requirements:

  • Active admission to the New York State Bar (in good standing)
  • 2 to 8 years of substantive experience in M&A and general corporate practice
  • Familiarity with private equity transactions is strongly preferred
  • Exposure to fund formation and/or structured finance is a plus
  • Strong organizational, drafting, and communication skills
  • Ability to operate independently and within a team-based setting

Education:

Juris Doctor (JD) from an accredited U.S. law school

Certifications:

Admission to the New Jersey Bar is advantageous
