Job Overview:
A New York City-based law firm is actively seeking a mid-to-senior level Associate Attorney to join its Mergers & Acquisitions and Private Equity practice teams. The role involves representing diverse clients in transactional matters including corporate acquisitions, private equity investments, and general governance issues. The selected candidate will engage in cross-functional legal work with direct exposure to clients and collaborative work with senior partners in a dynamic and fast-paced setting.

Duties:

  • Represent acquirers and sellers in mergers, acquisitions, and related corporate transactions across multiple industries.
  • Provide legal support to private equity firms, emerging sponsors, and investment vehicles during acquisitions, fundraising, and structuring.
  • Draft and negotiate commercial and transactional documents, such as purchase agreements, operating agreements, fund governance instruments, and investor documents.
  • Counsel clients on corporate matters, including entity structuring, governance policies, and compliance with regulatory obligations.
  • Collaborate closely with founders, executives, family offices, and investors throughout the transaction lifecycle.
  • Engage in deal execution and project management, ensuring timelines and deliverables are met.
  • Utilize or develop knowledge in structured finance or fund formation (experience in these areas is considered advantageous but not required).

Requirements:

  • Active license to practice law in New York; admission in New Jersey is considered a plus.
  • 2-8 years of focused experience in mergers and acquisitions and general corporate legal work.
  • Demonstrated proficiency in contract drafting, negotiations, and client communication.
  • Capacity to work independently while contributing within a team-based, entrepreneurial environment.
  • Adaptability and precision in handling complex deals under tight deadlines.

Education:

Juris Doctor (J.D.) from an accredited law school.

Certifications:

  • Admission to the New York Bar (mandatory).
  • Admission to the New Jersey Bar (preferred).
