Job summary

GuideWell seeks a mid-level attorney to provide legal counsel and transactional support across procurement, healthcare operations, technology transactions, and strategic initiatives. With 5–10 years of experience, you will draft and negotiate complex agreements and advise on regulatory and business risks.

You will collaborate with procurement, privacy, compliance, information security, and business teams and handle varied contracts, data use and IP matters in a dynamic health-tech environment.

Qualifications

• J.D. with strong academic record and 5–10 years of professional legal experience.
• Experience supporting healthcare, managed care, provider, health solutions, or related healthcare businesses.
• Demonstrated experience drafting, reviewing, and negotiating complex commercial agreements.

Responsibilities

• Draft, review, and negotiate commercial agreements including MSAs, SOWs, software licenses, SaaS and cloud agreements, data use agreements, and more.
• Provide legal support for procurement activities and supplier relationships across payer, provider, and health solutions operations.
• Advise business clients on contractual, healthcare regulatory, operational, and legal risks.
• Support transactions involving software, AI, analytics, interoperability, data licensing, cybersecurity, and other technology-enabled healthcare solutions.
• Advise on IP matters related to commercial transactions, including ownership of deliverables and licensing rights.
• Collaborate with procurement, privacy, compliance, information security, technology, and business teams to mitigate risks.
• Conduct legal research and prepare memoranda, presentations, and contract analyses.
• May take on additional legal responsibilities and special projects as needed.
