Job summary

GuideWell seeks a mid-level attorney to provide counsel on procurement, healthcare operations, technology transactions, and strategic initiatives across GuideWell and its affiliates. With 5–10 years of relevant experience, you will draft and negotiate complex commercial agreements and advise on regulatory risks.

You will collaborate with procurement, privacy, compliance, information security, and business teams, handling software, data licensing, IP, cybersecurity, and AI-related transactions.

Qualifications

• JD from an accredited law school with 5–10 years of professional legal experience.
• Admission to at least one state bar; Authorized House Counsel if bar outside Florida.
• Experience supporting healthcare, managed care, provider, health solutions businesses.
• Experience drafting, reviewing, and negotiating complex commercial agreements.
• Strong knowledge of contract law and risk allocation.
• Excellent written and verbal communication; ability to explain legal concepts to non-attorneys.

Responsibilities

• Draft, review, and negotiate commercial agreements including MSAs, SOWs, software licenses, SaaS/cloud, data use and BAAs.
• Support procurement activities and supplier relationships across payer, provider, and health solutions ops.
• Advise on contractual, healthcare regulatory, operational, and legal risks.
• Support transactions involving software, AI, analytics, interoperability, data licensing, cybersecurity.
• Advise on IP matters related to deliverables, licensing, confidentiality, and third‑party materials.
• Collaborate with cross‑functional teams to identify and mitigate legal/business risks.
• Conduct legal research and prepare memoranda, analyses, and contract documents.
• Take on additional legal responsibilities and special projects as needed.
