  • Strong capability in securities filings and regulatory diligence.
  • Knowledge of risk allocation in regulated industries.

Our people represent 90 nationalities and speak 80 languages.Duties and AccountabilitiesAdvise US and non-US corporate clients, multinational companies, financial institutions, private equity sponsors, infrastructure funds, and growth-stage businesses, on M&A and related transactional matters, including stock and asset acquisitions, joint ventures, LBOs, take privates, reorganizations, and public and private offerings (20%).Manage and coordinate transaction workstreams, including leading teams and efficiently collaborating and communicating with internal specialists (tax, antitrust, employment, IP, data privacy, regulatory, and finance) across multiple jurisdictions and time zones (10%).Conduct and oversee legal due diligence processes, identify key legal risks, and support transaction structuring and execution from inception to completion (5%).Draft, review, and negotiate transaction documents and ancillary agreements; coordinate third-party consents, regulatory filings, and closing processes (10%).Support business development and client relationship initiatives through legal research, market analysis, and preparation of client-facing materials (5%).Contribute to internal knowledge management and innovation initiatives, including participation in process improvement and legal technology efforts (5%).Conduct and review lien, tax, UCC and other searches and flag potential issues to senior deal team members (5%).Assist in the preparation of drafts of transaction documents (5%).Draft and finalize company documents to authorize corporate transactions (10%).Draft closing documents, including board resolutions, certificates and other ancillary documentation based on forms and precedents (5%).Manage and mentor Junior Associates, Legal Assistants, and non-attorney timekeepers throughout each transaction, offering guidance and contextual advisement specific to the client and/or the matter and ensuring the deal team grasps the broader transactional landscape and their roles within that space (10%).Review and refine all draft work prepared by junior team members, including transaction documents and diligence reports, readying all content, communication, and presentations for Partner and client use (10%).Salary: $270,000-$385,000 per year.QualificationsJ.D., LL.M., or U.S. equivalent in law plus 2 years of professional experience as an Attorney, Associate, Law Clerk, or any occupation/job title/position working for an international law firm on Mergers and Acquisitions practice and equity investments in a broad range of industries.Must be admitted to the New York State Bar.Must also have experience with the following special skills: 2 years of experience handling power and renewable energy transactions, including advising on acquisitions, infrastructure funds, divestitures, and joint ventures, LBOs, take privates, involving energy and infrastructure assets, and familiarity with U.S. energy regulatory frameworks (including FERC and ISO/RTO processes); 2 years of experience executing multi-jurisdictional transactions, including coordinating legal and regulatory workstreams across 3 or more international jurisdictions and managing cross-border closing requirements; 2 years of experience handling public company transactions, including de-SPAC transactions, IPOs, and shareholder activism matters, with demonstrated involvement in drafting and reviewing U.S. securities filings (including proxy statements and similar disclosure documents); and 2 years of professional experience performing legal research and thought leadership in regulated industries, including supporting regulatory diligence and risk allocation analysis in M&A.Location & ReportingTelecommuting may be permitted up to 1 day per week.
