Responsibilities
  1. Advise clients on corporate and partnership tax services, including planning, research, and M&A activities.
  2. Work within a multidisciplinary team delivering due diligence and tax structuring services, communicating findings to clients.
  3. Execute complex partnership transactions such as acquisitions, dispositions, mergers, and restructurings.
  4. Assist with IPOs, de-SPACs, and take-private transactions involving Up-C structures.
  5. Review and remediate deficiencies in partnership allocations, basis adjustments, and capital accounts.
  6. Advise on renewable energy transactions like tax equity partnerships and credit sales under the Inflation Reduction Act.
Qualifications
  1. Minimum five years of recent federal tax and/or M&A experience in a public accounting firm, corporate tax department, or law firm.
  2. Bachelor’s degree, J.D., LL.M. in taxation, or MST from an accredited institution.
  3. Licensed CPA, EA, JD, or LL.M., with a one-year grace period for obtaining credentials if not already held.
  4. Knowledge of corporate and partnership tax matters across various industries.
  5. Ability to manage multiple engagements and teams.
  6. Interest in mentoring and developing team members; excellent modeling, research, and writing skills.
