Manager, M&A Tax - Partnership Transactions Group

Responsibilities:

  1. Advise clients on a spectrum of corporate and partnership tax services, including planning, research, and M&A activities.
  2. Work within a multidisciplinary team delivering due diligence and tax structuring services, communicating findings to clients.
  3. Execute complex partnership transactions, including acquisitions, dispositions, mergers, and restructurings.
  4. Assist with IPOs, de-SPACs, and take-private transactions involving Up-C structures.
  5. Review and remediate deficiencies in partnership allocations, basis adjustments, and capital accounts.
  6. Advise clients on renewable energy transactions, such as tax equity partnerships and credit sales, under the Inflation Reduction Act.

Qualifications:

  1. Minimum five years of recent experience in federal tax and/or M&A in a public accounting firm, corporate tax department, or law firm.
  2. Bachelor's degree, J.D., LL.M., or MST from an accredited institution.
  3. Licensed CPA, EA, JD/LLM, or other approved credentials; candidates without these at start have one year to obtain one.
  4. Knowledge of corporate and partnership tax matters across industries.
  5. Ability to manage multiple engagements and teams.
  6. Interest in developing and mentoring team members; excellent modeling, research, and writing skills.
