Job summary

Baker Tilly US, LLP, is seeking a Manager to join its M&A Tax team in the United States. You will develop and implement transaction advisory services for clients including privately held and publicly traded companies, private equity funds, and financial sponsors.

The role requires a CPA or JD/LLM, 5+ years in a professional services firm, and strong analytical and communication skills. Open to location.

Qualifications

• Bachelor's degree in finance, accounting or related field; or graduate degree with 4+ years of experience.
• 5+ years of experience in a mid to large professional services firm.
• CPA or JD/LLM required.
• Tax due diligence, deal structuring and post-acquisition planning experience and/or inbound/outbound transaction consulting.
• Strong analytical, problem-solving, organization, interpersonal and project management skills; MS Office proficiency.
• Strong written communication and client-service orientation.

Responsibilities

• Interact with Partners on client and engagement management.
• Model financial transactions for valuation, structuring, and negotiation.
• Prepare memoranda and presentations describing client attributes and industries.
• Review tax aspects of acquisitions and draft tax opinions.
• Identify tax risks and opportunities; advise on alternative tax strategies.
• Review tax computations in financial models and analyze tax data.
• Data gathering, document review and reports preparation.
• Research and financial analysis of target companies.
• Due diligence for buy-side and sell-side transactions.
• Transaction structuring for tax and accounting issues.
• Negotiation support and client communication to ensure service quality.
• Participate in marketing and recruiting activities.
