Job summary

Obsidian, based in New York, seeks an in-house corporate development professional to own live M&A deals from screening through closing. You will build complex valuation models, draft term sheets, and prepare board-ready materials for decision making.

Ideal candidates have 4+ years in a corporate development or M&A role and hands-on ownership of transactions, not advisory work. A strong Excel and PowerPoint foundation is required to create rigorous analysis and compelling presentations.

• Hands-on ownership of live transactions end-to-end.

Responsibilities

• Build valuation and merger models: three-statement, DCF, trading and transaction comps, accretion-dilution, cap table and equity waterfall.
• Draft and compare transaction terms: IOIs, LOIs, term sheets, bid comparisons, deal structure and consideration economics.
• Produce process and board materials: management presentations, data packs, buyer universes, board and committee decks, closing mechanics and funds flow.
• Run screening, diligence and integration work: inbound deal screens, diligence request lists, findings synthesis, synergy models, carve-out analysis, 100-day plans.

About the work

We're building a high-quality library of in-house corporate development work products. You'll complete self-contained M&A exercises from mock files (CIMs, diligence reports, term sheets, board decks) and produce the deliverable for each, graded against a rubric.

What you'll do

• Build valuation and merger models: three-statement, DCF, trading and transaction comps, accretion-dilution, cap table and equity waterfall.
• Draft and compare transaction terms: IOIs, LOIs, term sheets, bid comparisons, deal structure and consideration economics.
