Job summary

Obsidian is seeking an in-house corporate development professional in San Francisco to manage end-to-end M&A processes, from target screening to closing.

You will build valuation models, compare deal terms, and produce board-ready materials. You’ll own live transactions and drive diligence, integration planning, and synergy analyses with cross-functional teams.

We value at least 4+ years in corporate development at an operating company and hands-on execution across the deal lifecycle.

Responsibilities

• Build valuation and merger models including three-statement, DCF, comps, accretion/dilution, cap table.
• Draft and compare transaction terms: IOIs, LOIs, term sheets, bid analyses.
• Prepare board-ready materials: management presentations, data packs, decks, funds flow.
• Lead screening, diligence and integration work: deal screens, diligence requests, synergy models, 100-day plans.

About the work

We're building a high-quality library of in-house corporate development work products. You'll complete self-contained M&A exercises from mock files (CIMs, diligence reports, term sheets, board decks) and produce the deliverable for each, graded against a rubric.

What you’ll do

• Build valuation and merger models: three-statement, DCF, trading and transaction comps, accretion-dilution, cap table and equity waterfall.
• Draft and compare transaction terms: IOIs, LOIs, term sheets, bid comparisons, deal structure and consideration economics.
• Produce process and board materials: management presentations, data packs, buyer universes, board and committee decks, closing mechanics and funds flow.
• Run screening, diligence and integration work: inbound deal screens, diligence request lists, findings synthesis, synergy models, carve-out analysis, 100-day plans.

You're a fit if you have

• 4+ years in an in-house corporate development or M&A role at an operating company.
• Hands-on ownership of live transactions end to end, not support work.

Nice to have

• Investment banking or private equity background before moving in-house; Big 4 transaction advisory or financial due diligence.
