The ideal candidate has substantial corporate experience, exposure to securities matters, and ability to independently draft and negotiate documents.

Qualifications

• 3+ years of substantive corporate experience in a law firm or corporate setting.
• Meaningful M&A experience is required.
• Exposure to securities law and general corporate matters beneficial.
• Experience with venture capital, financings, or private placements highly desirable.
• Ability to independently draft and negotiate transaction documents.
• Strong academic performance; high class rank is a plus.
• Excellent writing, analytical, communication, and interpersonal skills.

Responsibilities

• Handle mergers & acquisitions, venture capital transactions, financings, and private placements.
• Draft and negotiate transaction documents and structuring of deals.
• Provide governance and general corporate counseling to clients.
• Assist with due diligence and transaction management.
