True Talent Solutions Partners is seeking a mid-level M&A and private equity associate to lead transactions from due diligence through closing. You will also advise clients on general corporate matters and work directly with clients.

The role requires 4–8 years of M&A/PE transactional experience, a J.D., and a Missouri license or willingness to obtain one. On-site in St. Louis, with potential consideration for Chicago-based candidates.

Formación

• Four to eight years of M&A and private equity transactional experience at a law firm.
• Juris Doctor degree and license to practice law in Missouri, or willingness to obtain one.
• Experience with private equity-sponsored transactions, due diligence, and drafting and negotiating purchase or merger agreements.
• Strong client-facing skills, attention to detail, and ability to manage multiple matters.
• Experience with general corporate work, such as formations and entity structuring.
• Experience with debt financings, equity structuring, or cross-border transactions is useful.

Responsabilidades

• Run mergers and acquisitions transactions from due diligence through closing.
• Draft and negotiate purchase agreements, merger agreements, financing documents, and other transactional documents.
• Manage due diligence processes across transactions.
• Advise on entity formations, corporate structuring, and ongoing corporate matters.
• Support private equity sponsors and portfolio companies throughout the investment lifecycle.
• Work closely with partners and take an active role in client relationships.
