Director, M&A: Utility-Scale BESS Platform
Location: Austin, TX (hybrid)
Reports to: VP Finance
Employment type: Full-time
My client is an Austin-based developer, owner, and operator of utility-scale battery energy storage (BESS), with a development pipeline of more than 3 GW across U.S. markets. The company is scaling from a development-led platform into a full-cycle owner-operator, and M&A is central to that strategy: acquiring projects, portfolios, and teams that accelerate the path to commercial operation.
My client is seeking a Director of M&A to own its inorganic growth strategy end to end, from sourcing and underwriting through negotiation, closing, and handoff to development and operations. The Director will work directly with executive leadership and capital partners and will be a key voice in how capital is allocated across a 3+ GW pipeline.
Origination and strategy
Build and run a proactive acquisition pipeline: development-stage projects, late-stage and RTB assets, operating BESS portfolios, and platform or team acquisitions
Develop relationships with developers, landowners, brokers, utilities, IPPs, infrastructure funds, and advisors to generate proprietary deal flow
Maintain a view of ERCOT and adjacent-market dynamics (queue position, congestion, ancillary services and ECRS, price volatility) and translate it into target criteria
Evaluation and underwriting
Lead commercial, technical, and financial diligence, including interconnection status (GINR/LLIS/ISA), site control, permitting, environmental, supply chain, and offtake or revenue structure
Build and review acquisition models covering merchant, tolling, and hybrid revenue cases, with returns, downside sensitivities, and capital-stack scenarios
Assess tax credit eligibility and transferability, FEOC/prohibited foreign entity compliance, and tariff exposure on equipment and supply chains
Present investment recommendations to the executive team, investment committee, and board
Execution
Lead deal execution: LOIs, purchase agreements, earn-outs, development milestones, and closing mechanics, coordinating outside counsel, tax, and technical advisors
Structure transactions with project finance lenders, tax equity or transfer buyers, and equity co-investors in mind
Run integration of acquired assets and teams into development, engineering, and asset management workflows
Capital markets and partnerships
Support equity raises, joint ventures, minority sell-downs, and portfolio recycling alongside the CFO
Evaluate partnership structures with utilities, optimizers, and technology and EPC providers
Required
8+ years in M&A, corporate development, investment banking, infrastructure or private equity investing, or energy development, with at least 4 years focused on renewables or energy storage
Track record of leading multiple closed transactions, ideally including development-stage or operating power assets
Strong financial modeling and valuation skills (DCF, project-level returns, merchant revenue forecasting)
Working knowledge of ERCOT market structure and interconnection process
Experience negotiating purchase agreements and working with legal, tax, and technical advisors
Bachelor's degree in finance, economics, engineering, or a related field
