Rain is seeking a corporate attorney to lead M&A execution and provide strategic legal support across a fast-growing fintech platform. You will draft and negotiate acquisition documents, advise on corporate structure, and coordinate cross-functional due diligence with Finance, Compliance, and Engineering.

The role requires 4–8 years in corporate law, US bar admission, and strong drafting skills to navigate complex transactions and regulatory considerations across multiple jurisdictions.

Qualifications

• 4–8 years of experience in corporate law with meaningful M&A transaction work.
• Hands-on drafting and negotiating acquisition agreements, investment documents, and related ancillary agreements.
• Strong understanding of corporate governance, entity management, and Delaware law.
• Ability to manage multiple workstreams and meet strict deadlines in a fast-paced fintech environment.
• Clear, confident communication translating complex legal concepts for business stakeholders.
• Excellent in-house drafting and contract negotiation skills.
• JD and admission to at least one US state bar.

Responsibilities

• Lead M&A execution for acquisitions, divestitures, and strategic investments from LOI to close and post-closing integration.
• Draft and negotiate transaction documents (purchase/merger agreements, ancillary documents, consent forms).
• Coordinate due diligence with cross-functional teams to identify risks and protections.
• Advise on corporate structure and international expansion with local counsel.
• Support regulatory approvals in M&A, including filings with regulators.
• Handle general corporate matters and intercompany agreements.
• Collaborate with licensing, compliance, and regulatory teams to align transactions with obligations.
