Job summary

Rain is seeking a senior corporate lawyer to lead M&A execution and structuring for a fast-moving fintech platform. You will manage acquisitions, investments, and related agreements, collaborating with Finance, Compliance, Risk, and Product teams to balance deal terms with Rain's regulatory obligations.

You will draft and negotiate key transaction documents, coordinate cross-functional due diligence, and advise on international expansion.

Qualifications

• 4 to 8 years of corporate law experience with meaningful M&A transactions.
• Hands-on drafting and negotiating acquisition agreements and related documents.
• Strong governance, entity management, and Delaware corporate law knowledge.
• Ability to manage multiple workstreams and meet deadlines in a fast-paced setting.
• Clear communication to translate complex legal concepts for business partners.
• Excellent drafting skills and in-house contracting experience; US bar admission.

Responsibilities

• Lead M&A execution across acquisitions, divestitures, and strategic investments.
• Draft and negotiate purchase, merger, and related ancillary documents.
• Coordinate due diligence with cross-functional teams to identify risks.
• Advise on corporate structure and international expansion with local counsel.
• Support regulatory approvals and licensing filings related to M&A.
• Handle intercompany agreements and corporate structuring matters.
• Collaborate with licensing, compliance, and regulatory teams on transactions.
