Job summary

Orionplacement is seeking a corporate transactional attorney in Baltimore to draft and negotiate stock and asset purchase agreements and related documents. You will manage deals from due diligence through closing and coordinate teams across multiple disciplines with senior attorneys and clients.

The role emphasizes advising on acquisition strategies, governance matters, and securities compliance, while enabling independent work within a collaborative environment.

Qualifications

• Juris Doctor from an accredited law school is required.
• Active Maryland bar license is required.
• 3+ years of directly relevant corporate transactional and M&A experience.
• Hands-on experience drafting and negotiating acquisition and corporate transaction documents.
• Experience managing transactions through due diligence, negotiation, and closing.
• Strong drafting, analytical, organizational, and client communication skills.
• Ability to work independently while contributing to transaction teams.

Responsibilities

• Draft and negotiate stock purchase agreements, asset purchase agreements, merger agreements, and related documents.
• Manage corporate transactions from due diligence and negotiation through documentation and closing.
• Coordinate transaction teams involving attorneys across multiple disciplines.
• Structure, form, and capitalize corporations, LLCs, partnerships, and other entities.
• Draft and negotiate operating agreements, shareholder agreements, and commercial contracts.
• Advise corporate clients on acquisition strategies and ongoing needs.
• Work closely with senior attorneys and clients to manage deal timelines toward closing.
• Assist with corporate governance, securities, and compliance filings as appropriate.
