Job summary

Confidential Employer in Jersey City, NJ is seeking a corporate M&A attorney with 3+ years of direct M&A experience to advise on mergers, acquisitions, sales, and other strategic transactions.

You will draft and negotiate purchase agreements and related documents, manage due diligence, coordinate deal processes through signing and closing, and collaborate with clients, counsel, accountants, and financial advisors. On-site role with strong client exposure and ownership opportunities.

Qualifications

• Active New Jersey Bar license in good standing.
• 3+ years of direct M&A experience.
• Experience drafting and negotiating transactional agreements.
• Experience managing due diligence and transaction closings.
• Strong corporate transactional, drafting, analytical, and communication skills.
• Ability to work on-site in Jersey City.
• Portable book of business preferred, but not required.

Responsibilities

• Advise clients on mergers, acquisitions, sales, and other strategic business transactions.
• Draft and negotiate purchase agreements, ancillary agreements, and transactional documents.
• Manage legal due diligence and identify key transaction risks.
• Coordinate deal processes from initial structuring through signing and closing.
• Work directly with clients, opposing counsel, accountants, financial advisors, and other transaction professionals.
• Advise clients on corporate governance and related business matters.
• Manage multiple active transactions while maintaining strong attention to detail and deadlines.
• Take increasing ownership of client relationships and matters based on experience.
• Support business development and relationship-building initiatives where appropriate.
