Job summary

The People Of: Professional Services in Washington, DC is seeking a mid-level Corporate Associate with 3–5 years PQE to join its busy M&A, joint ventures, and equity finance practice. This is a partnership-track opportunity with substantial client contact and meaningful deal responsibility.

You will draft and negotiate purchase agreements, coordinate with tax, IP, employment, and regulatory teams, and provide strategic commercial advice to clients across a range of industries.

Qualifications

• 3–5 years of corporate transactions experience at a reputable law firm.
• Strong M&A and joint venture background with equity finance focus.
• Familiarity with debt financing and related agreements is a plus.
• Proven ability to draft principal deal documents and manage deal flow.
• Excellent communication, organization, and analytical skills.

Responsibilities

• Lead and support M&A transactions and equity financings.
• Draft and negotiate stock/asset purchase agreements and operating agreements.
• Coordinate with tax, IP, employment, and regulatory teams.
• Support private equity and family office clients on complex deals.
• Interface with clients and provide strategic commercial advice.
