Job summary

Watts & Associates is seeking a Mergers & Acquisitions Associate in Palo Alto, CA with 3–7 years of substantive corporate M&A experience to join a premier Am Law 50 practice. You will draft and negotiate acquisition documents, lead due diligence, and coordinate across tax, finance and regulatory teams, working closely with partners and clients on complex domestic and cross-border matters.

This role offers exposure to high-value deals, meaningful ownership, and a path to senior client

Qualifications

• 3–7 years of corporate M&A experience.
• Experience handling acquisitions, dispositions or strategic transactions.
• Strong drafting and negotiation skills with principal deal documents.
• Excellent analytical, organisational and problem-solving abilities.
• Ability to manage multiple workstreams and demanding timelines.
• Strong written and verbal communication skills.
• Excellent academic credentials (Ideally T14) and top law firm experience.

Responsibilities

• Draft and negotiate acquisition agreements and related documents.
• Manage due diligence and coordinate workstreams.
• Advise on transaction structure, process and execution.
• Support signing, closing and post-closing matters.
• Work on strategic acquisitions, dispositions, mergers and JVs.
• Coordinate with tax, finance, antitrust, benefits and regulatory teams.
• Communicate directly with clients, counterparties and advisers.
• Track transaction timelines, deliverables and risk issues.
• Contribute to deal strategy and practical commercial solutions.
