Qualifications
J.D. from ABA-accredited law school is required.
Licensed to practice in Minnesota or eligible for admission within a specified period after hire.
Two-plus years of meaningful corporate/M&A experience.
Experience drafting and negotiating purchase agreements and closing documents.
Experience with legal due diligence, risk assessment, and project coordination.
Responsibilities
Draft, review, revise, and manage transaction documents with emphasis on closing materials.
Identify and analyze legal and business issues; conduct targeted legal research as needed.
Manage transaction workstreams from signing through closing and coordinate deliverables.
Assist in negotiations and develop positions with supervising attorneys.
Communicate with clients, colleagues, and opposing counsel clearly and professionally.
