THE RIGHT STAFF is seeking a Mergers & Acquisitions Associate Attorney for direct hire, on-site in Downtown Minneapolis. The role offers exposure to sophisticated transactions, drafting, due diligence, and direct work with experienced M&A attorneys and clients. Strong drafting, analytical, and organizational skills are essential.

The candidate should have a J.D. from an ABA-accredited law school, Minnesota Bar eligibility, and 2+ years of corporate/M&A experience.

Qualifications

• J.D. from ABA-accredited law school is required.
• Minnesota Bar admission or eligibility within a set period after hire is required.
• 2+ years of meaningful corporate/M&A experience.
• Experience with legal due diligence, closings, and drafting/revising transaction documents.
• Strong drafting, analytical, communication, and organizational skills.
• Excellent attention to detail and ability to manage deadlines and priorities.

Responsibilities

• Draft, review, and revise transaction documents (purchase agreements, closing docs, resolutions, certificates, disclosure schedules).
• Conduct legal due diligence by reviewing contracts, corporate records, and transaction materials.
• Identify legal/business issues, assess risk, and provide practical recommendations.
• Manage transaction workstreams with checklists, deadlines, and coordination among clients, attorneys, and paralegals.
• Review proposed revisions and assist with negotiations with opposing counsel and other parties.
• Communicate clearly with clients, supervising attorneys, colleagues, and transaction participants.

Are you a detail-oriented Attorney with strong drafting, analytical, and organizational skills ready to take on greater responsibility in sophisticated transactions?THE RIGHT STAFF is assisting our Downtown Minneapolis law firm client with finding a motivated, collaborative Mergers & Acquisitions Associate Attorney to join its well-recognized Corporate/M&A team. This fast-paced practice offers the opportunity to work directly with experienced M&A attorneys and clients while taking on increasing responsibility for transaction execution, negotiation, and client service.Essential Job Duties:Draft, review, and revise transaction documents, including purchase agreements, closing documents, resolutions, certificates, and disclosure schedules.Conduct legal due diligence, including reviewing contracts, corporate records, and other transaction materials.Identify and analyze legal and business issues, assess risk, and provide practical recommendations.Manage assigned transaction workstreams, including checklists, deadlines, closing deliverables, and coordination with clients, attorneys, paralegals, and other transaction participants.Review proposed revisions and assist with negotiations with opposing counsel and other parties.Communicate clearly and proactively with clients, supervising attorneys, colleagues, and transaction participants.Exercise sound judgment and appropriately escalate issues when needed.Minimum Requirements:J.D. from an ABA-accredited law school.Minnesota Bar admission or eligibility for admission within a specified period after hire.2+ years of meaningful corporate/M&A experience.Experience with legal due diligence, transaction closings, and drafting/revising transaction documents.Strong analytical, drafting, communication, and organizational skills.Excellent attention to detail and ability to manage multiple deadlines and priorities.Preferred Qualifications:Experience drafting closing documents, disclosure schedules, resolutions, and certificates.Experience drafting or substantively revising purchase agreements.Experience with iManage and InTapp.Core Competencies:Dependable, accountable, and able to take ownership of assignments.Strong judgment, organization, and attention to detail.Ability to prioritize competing demands and anticipate next steps.Strong interpersonal and communication skills.Ability to work collaboratively in a fast-paced environment.Adaptable and comfortable managing changing priorities and multiple tasks.Ability to use legal technology and approved AI tools effectively while ensuring accuracy.Position Benefits, Pay, and Schedule:Direct-hire opportunity with a respected, full-service Minneapolis law firm.$200,000–$260,000 annually, commensurate with experience.Opportunity to work on sophisticated M&A transactions and directly with experienced attorneys and clients.Comprehensive benefits including health insurance, paid parental leave, 401(k), disability, life insurance, PTO, and voluntary benefits.Full-time, primarily on-site in Downtown Minneapolis with remote flexibility 1-2 days per week.Monday–Friday schedule, with additional hours as needed to meet transaction deadlines.TO APPLY:Please upload your resume along with your contact information and a brief cover letter.
