The role concentrates on leveraged finance, acquisition finance, private equity finance, and related financings, with opportunities to represent sponsors, portfolio companies, and lenders in complex deals, from structuring to closing.

Qualifications

• 2–6 years of leveraged finance or related transactional experience.
• Experience with leveraged buyout financings, acquisition financings, secured and unsecured credit facilities.
• Experience representing private equity sponsors, portfolio companies, corporate borrowers, banks, direct lenders, and other financial institutions.
• Experience drafting and negotiating credit agreements, security agreements, guaranties, intercreditor agreements, and other financing documents.
• Experience supporting M&A and private equity transactions from a financing perspective.
• Experience with senior secured facilities, revolving credit facilities, term loans, and other leveraged lending structures.
• Strong drafting, negotiation, analytical, and problem-solving skills.
• Ability to manage multiple sophisticated transactions in a fast-paced environment.
• Excellent client service and communication skills.
• Strong academic credentials.
• J.D. from ABA-accredited law school required.
• Texas bar admission required or ability to become admitted.

Aligned Talent Acquisition is recruiting for an experienced Leveraged Finance Associate Attorney opportunity with a leading Am Law 100 firm in Dallas.

This is an excellent opportunity for a finance attorney interested in sophisticated leveraged finance, acquisition finance, private equity finance, and other complex debt financing transactions involving private equity sponsors, portfolio companies, corporate borrowers, lenders, and financial institutions.

Ideal Background

• 2–6 years of leveraged finance, debt finance, acquisition finance, or related transactional experience
• Experience with leveraged buyout financings, acquisition financings, secured and unsecured credit facilities, and other sophisticated lending transactions
• Experience representing private equity sponsors, portfolio companies, corporate borrowers, banks, direct lenders, and other financial institutions
• Experience drafting and negotiating credit agreements, commitment letters, security agreements, guaranties, intercreditor agreements, and other financing documents
• Experience supporting M&A and private equity transactions from a financing perspective
• Experience with senior secured facilities, revolving credit facilities, term loans, and other leveraged lending structures
• Experience conducting due diligence and coordinating complex financing transactions from inception through closing
• Strong drafting, negotiation, analytical, and problem-solving skills
• Ability to manage multiple sophisticated transactions in a fast-paced environment
• Excellent client service and communication skills
• Strong academic credentials
• J.D. from an ABA-accredited law school required
