The Legal Operations Associate is responsible for supporting the legal department through the preparation and negotiation of client and vendor contracts, management of the full contract lifecycle, administration of the Ironclad CLM system, and oversight of legal billing and expense tracking. This role partners closely with legal counsel, business stakeholders, outside vendors, and finance to drive efficiency, reduce risk, and ensure compliance with company policies.

JOB DESCRIPTION

Key Responsibilities:

Contract Lifecycle Management & Legal Support

  • Prepare and negotiate client and vendor contracts, identifying business terms, legal risks, and areas of improvement.
  • Manage the contract lifecycle, including intake, drafting, execution, tracking of client-specific requirements, and contract abstraction.
  • Advise internal teams on contractual terms, risk exposure, and compliance with existing agreements.
  • Support the legal team in managing commercial litigation and claims, including assisting with pleadings, discovery, investigations, and coordination with outside counsel.

Ironclad CLM Administration

  • Configure and maintain Ironclad workflows (e.g., NDAs, MSAs, SOWs) with approval logic, conditional routing, and data fields.
  • Manage contract templates and clause libraries, including standardization and version control.
  • Set up and maintain user roles, permissions, and department-specific access.
  • Collaborate with IT and vendors to support integrations with systems such as Salesforce, DocuSign, Microsoft 365, Slack, Workday, or other tools.
  • Build dashboards and generate reports to track contract turnaround time, workload, and performance metrics.
  • Provide user training, documentation, and ongoing support for Ironclad users.

Legal Billing & Expense Management

  • Review and validate invoices from outside counsel, ensuring compliance with billing guidelines, matter codes, and timekeeper approvals.
  • Use eBilling platforms (e.g., SimpleLegal, Legal Tracker, or similar) to route invoices for approval, track budgets, and generate spend reports.
  • Maintain accurate tracking of legal spend by matter, business unit, or law firm and assist with budget forecasting and variance analysis.
  • Prepare reports for internal use, including spend trends, law firm performance, and budget utilization.
  • Additional administrative duties as assigned.

Qualifications & Skills:

  • Bachelor's degree required; 3+ years of experience in contract negotiation, legal operations, or legal administration.
  • Strong understanding of legal terminology, risk management, and commercial contracting.
  • Experience with Ironclad or other CLM systems preferred.
  • Familiarity with eBilling tools (e.g., Legal Tracker, SimpleLegal) and LEDES/UTBMS billing codes preferred.
  • Excellent organizational skills and high attention to detail.
  • Proficient in Microsoft Office, especially Excel; experience with Power BI a plus.
  • Strong interpersonal and communication skills with the ability to collaborate across departments.
  • Ability to manage multiple priorities in a deadline-driven environment with minimal supervision.

The salary range for this position is $60,000 - $70,000

Additional Compensation:

Many factors go into determining employee pay within the posted range including business requirements, prior experience, current skills and geographical location.

  • Corporate Positions : In addition to the base salary, this role may be eligible to participate in a quarterly or annual bonus program based on individual and company performance.

  • Onsite Property Positions : In addition to the base salary, this role may be eligible to participate in weekly, monthly, and/or quarterly bonus programs.
