About the Role

Our client, a dynamic financial services group, is seeking a highly skilled Legal Advisor specializing in Mergers & Acquisitions (M&A) to join their team in Welkom, Free State . This challenging role requires a candidate with a robust understanding of corporate finance law, transaction structuring, and deal execution. You will be instrumental in advising on all legal aspects of M&A activities, including due diligence, negotiation, and contract drafting. The ideal candidate will possess exceptional analytical skills, a keen eye for detail, and the ability to manage complex transactions effectively within a demanding environment. This position offers significant exposure to high-value deals and strategic business initiatives.

Key Responsibilities

• Provide expert legal advice on M&A transactions, including acquisitions, divestitures, joint ventures, and strategic investments.
• Manage and conduct legal due diligence for potential transactions.
• Draft, review, and negotiate M&A agreements, including share purchase agreements, asset purchase agreements, and merger agreements.
• Advise on corporate structuring and governance related to transactions.

Requirements

• Admitted Attorney of the High Court of South Africa with a minimum of 7 years of relevant experience, with a significant focus on M&A.
• Proven experience in managing and executing complex M&A transactions.
• In-depth knowledge of corporate law, securities law, and transaction structuring.
• Exceptional legal research, drafting, and negotiation skills.
• Strong analytical and problem-solving abilities.
• Ability to work under pressure, manage multiple deals simultaneously, and meet tight deadlines.
• Excellent interpersonal and communication skills, with the ability to liaise effectively with senior management and external stakeholders.
• Experience in the financial services or related sector is highly desirable.
