Job summary

Intercontinental Exchange, Inc. seeks a Lead Counsel to negotiate and close enterprise SaaS agreements, advising internal stakeholders on business objectives and contract risk. This role requires deep knowledge of SaaS commercial contracting and strong drafting, negotiation, and leadership skills.

You will work with a tight legal team in-office across Jacksonville, FL; Provo, UT; or Atlanta, GA, with relocation assistance for qualified candidates. A law degree and active bar are required.

Qualifications

• JD from a U.S. ABA-accredited law school and active state bar.
• 4+ years of law firm and/or in-house experience, preferably counseling a technology company.
• Experience negotiating enterprise SaaS contracts.
• Excellent drafting, negotiation, and communication skills.
• Ability to lead diverse cross-functional teams through complex negotiations.
• Familiarity with revenue recognition, data privacy, and information security in contracts.

Job Purpose

This Lead Counsel will report to the Sr. Director - Associate General Counsel focused on origination products in the ICE Mortgage Technology business unit as an integral member of a small legal team that negotiates contracts for our enterprise mortgage technology SaaS solutions. This role requires full-time, in-office attendance in any of our Jacksonville, FL (preferred); Provo, UT; or Atlanta, GA offices, with relocation assistance available for qualified candidates. Intercontinental Exchange, Inc. Responsibilities

• Draft, negotiate, and close a variety of commercial agreements, with a focus on enterprise SaaS agreements with the company’s customers.
• Gain a detailed understanding of the company’s solutions to ensure alignment with contracts.
• Act as a strategic partner and advisor, providing thoughtful and prompt legal and business guidance to all internal go-to-market stakeholders.
• Work collaboratively with other members of the legal team to address additional needs of the company, including contracting with the company’s platform partners and managing informal commercial disputes.

Knowledge And Experience

• Law degree from an accredited U.S. law school and member in good standing in applicable state bar association
• 4+ years law firm and/or in-house experience, preferably counseling a technology company (SaaS commercial contracting)
• Prior in-house experience with enterprise SaaS commercial contracting highly preferred
• Excellent drafting, negotiation, organizational, interpersonal, and communication skills
• Ability to lead diverse teams through complex negotiations of enterprise sales deals, keeping all tasks organized and stakeholders clearly informed of deliverables and timelines
• Comfort with handling topics such as revenue recognition, data privacy, and information security in customer contracts (partnering with relevant subject matter experts as necessary)
• Ability to understand business objectives and think creatively to find practical resolutions
• Self-starter and able to work well independently and as part of a team
