Job summary

Taylor Root is seeking a Corporate Counsel in New York City, hybrid (3 days in). Own the day-to-day legal function with a strong focus on commercial contracting.

Draft and negotiate SaaS agreements, MSAs, DPAs and NDAs, and advise on data privacy including GDPR. Collaborate with the commercial team to balance risk and business goals in a fast-moving tech environment.

Qualifications

• Juris Doctor degree and active bar membership in good standing (US state).
• 5–7 years of relevant legal experience.
• Strong commercial contracting experience in tech, ideally in-house.

Responsibilities

• Draft, review and negotiate a broad range of commercial agreements (SaaS, MSAs, DPAs, NDAs).
• Negotiate company-standard and third-party paper, including complex customer contracts.
• Partner with the commercial team to facilitate customer negotiations and practical solutions.
• Advise on data privacy within commercial relationships and GDPR considerations.
• Provide occasional support across employment, IP, and new product launches.

Location: New York City, hybrid (3 days in)

I’m partnering with a PE-backed technology company that is looking to hire a Corporate Counsel to take ownership of its day-to-day legal function.

This is a highly commercial role within a lean, fast-moving business, with approximately 75% of the workload focused on commercial contracting. The successful candidate will work closely with the commercial team, taking the lead on contract drafting and negotiations while also advising on data privacy and other legal matters as they arise.

The Role

Responsibilities will include:

• Drafting, reviewing and negotiating a broad range of commercial agreements, including SaaS agreements, MSAs, DPAs, and NDAs
• Negotiating both company-standard agreements and third-party paper, including agreements with large, sophisticated customers
• Partnering closely with the commercial team throughout customer negotiations
• Joining calls with prospective customers to work through contractual issues and reach practical solutions
• Advising on data privacy matters arising within commercial relationships
• Drafting and negotiating DPAs and providing guidance on GDPR and other relevant privacy requirements
• Providing occasional support across employment, IP and new product launches
• Continuing to develop efficiencies within the legal function, including leveraging AI and technology

Experience

• Juris Doctor degree and active membership in good standing with at least 1 US state bar
• Approximately 5-7 years of relevant legal experience
• Strong commercial contracting experience, ideally gained in-house within a technology environment
• Experience drafting and negotiating SaaS agreements, MSAs, DPAs and NDAs
• Working knowledge of data privacy, including GDPR
• Comfortable independently owning a commercial contracting function
• Pragmatic and commercially minded, with the ability to balance legal risk against business objectives
• Comfortable working with a demanding commercial team and managing quick turnaround times
• Adaptable and able to respond effectively as priorities and contractual positions change
