Job summary

Davis Wright Tremaine LLP seeks junior and midlevel associates to join its Corporate practice in Seattle, San Francisco, or Portland offices. These associates will support a growing practice representing strategic buyers and sellers, private equity, venture capital and other investors, as well as emerging companies and founders across M&A, ECVC transactions, and governance matters.

Qualifications

• 1–5 years of corporate transactional experience at a law firm.
• Experience with mergers and acquisitions, venture financings, emerging companies, and general corporate matters preferred.
• Strong drafting, negotiation, analytical, and organizational skills.
• Ability to manage multiple matters and workstreams in a fast-paced, team-oriented environment.
• Demonstrated interest in transactional practice advising private companies, investors and founders.
• J.D. from an accredited law school and admission (or eligibility) in the state where the position is based.

Responsibilities

• Advise private companies, PE sponsors and other investors on middle-market M&A, platform acquisitions, add-ons, joint ventures, and strategic transactions.
• Advise boards of directors and portfolio companies on corporate governance and counseling.
• Advise emerging growth companies and founders on governance, formation, and day-to-day matters.
• Advise venture capital funds on seed, Series A, and later-stage financings.
• Assist with transaction structuring, due diligence, negotiation, and closing processes.
• Draft and negotiate transaction documents including financing documents, purchase agreements, governance materials, schedules and ancillary agreements.
• Coordinate and manage due diligence reviews and workstreams across deal teams.
• Work with management teams, sponsors, investors and founders to manage deal timelines and deliverables.
• Collaborate with attorneys across the firm in related practice areas.
