Alexander Chapman Ltd in Chicago seeks a mid-level Legal Counsel to join its Legal & Compliance team, focusing on investment management, registered funds, ETFs and related regulatory matters.

You will provide legal guidance to internal business teams, assist with SEC filings and fund registrations, and draft and review fund disclosures.

The role involves drafting and negotiating investment management, distribution, intermediary, trading and vendor agreements, and supporting fund launches.

Qualificações

• J.D. from an accredited law school with admission to at least one US state bar.
• 2+ years of relevant legal experience in investment management.

Responsabilidades

• Provide legal advice on investment management, registered funds, ETFs and related regulatory matters.
• Assist with SEC filings and updates to fund registration statements and offering documents.
• Draft and review prospectus supplements, regulatory disclosures and fund documentation.
• Support fund board meetings, including materials, memoranda and minutes.
• Draft, review and negotiate investment management, distribution, intermediary, trading and vendor agreements.
• Assist with the launch and ongoing maintenance of investment products.

We are currently working with a leading investment management firm that is seeking a mid-level Legal Counselto join its Legal & Compliance team.

This is an excellent opportunity for an attorney with a strong registered funds and investment management background to work closely with business professionals on a broad range of legal, regulatory and product-related matters.

Key Responsibilities:

• Provide legal advice to internal business teams on investment management, registered funds, ETFs and related regulatory matters
• Assist with SEC filings and ongoing updates to fund registration statements and offering documents
• Draft and review prospectus supplements, regulatory disclosures and other fund documentation
• Support fund board and committee meetings, including preparation of materials, memoranda and minutes
• Draft, review and negotiate a variety of agreements, including investment management, distribution, intermediary, trading and vendor agreements
• Assist with the launch and ongoing maintenance of investment products

Requirements:

• J.D. from an accredited law school and admission to at least one U.S. state bar
• 2+ years of relevant legal experience
• Strong experience with the Investment Company Act of 1940 and Investment Advisers Act of 1940
• Background in registered investment companies, mutual funds, ETFs or related investment products
• Experience drafting and negotiating commercial and investment management agreements
