Placements24's client, a dynamic law firm in Paarl, Western Cape, seeks an ambitious Junior Associate to join their growing corporate and commercial practice. You will work closely with senior attorneys on matters such as company formations, mergers and acquisitions, governance, and commercial contracts, gaining hands-on experience in a remote setting.

A newly qualified or early-career lawyer with admission to the High Court of South Africa, strong academics, and excellent drafting and research

• Admitted Attorney of the High Court of South Africa.
• Strong academic record with interest in corporate/commercial law.

Responsabilidades

• Draft and negotiate commercial agreements (shareholder, JV, service contracts).
• Conduct legal research and prepare memoranda on corporate issues.
• Support due diligence for mergers and acquisitions.
• Assist with company secretarial duties (board minutes, resolutions).
• Handle general corporate law matters and client support under supervision.
• Review legal documents for accuracy and compliance.

Our client, a dynamic law firm in Paarl, Western Cape , is seeking an ambitious and motivated Junior Associate to join their growing corporate law practice. This is an excellent opportunity for a newly qualified or early-career lawyer looking to build a strong foundation in corporate and commercial law. You will work closely with senior attorneys on a variety of matters, including company formations, mergers and acquisitions, corporate governance, and commercial contracts. Key Responsibilities

• Assist in the drafting and negotiation of commercial agreements, such as shareholder agreements, joint venture agreements, and service contracts.
• Conduct legal research and prepare memoranda on various corporate and commercial law issues.
• Support the due diligence process for mergers, acquisitions, and other corporate transactions.
• Assist with company secretarial duties, including the preparation of board minutes and resolutions.
• Handle general corporate law matters and provide legal support to clients under the supervision of senior lawyers.
• Review and analyze legal documents to ensure accuracy and compliance with relevant laws and regulations.

Requirements

• Admitted Attorney of the High Court of South Africa (or equivalent).
• A strong academic record and a demonstrated interest in corporate and commercial law.
• Excellent legal research, analytical, and drafting skills.
• Strong communication and interpersonal abilities, with the capacity to build rapport with clients and colleagues.
• Ability to work independently, manage time effectively, and thrive in a remote work environment, ideally with some exposure to virtual collaboration tools in Paarl.
